Jack Thorne and Harry Denlegh-Maxwell of McDermott Will & Emery report on a recent case where the Court of Appeal held that a Luxembourg sub-fund without separate legal personality is not an “unregistered company” under sections 220–221 of the Insolvency Act 1986 and therefore cannot be wound up by the English court.
