Sale Safeguards Majority of Jobs at Nottingham Windows Manufacturer

Leonard Curtis appointed liquidators following pre-liquidation business sale to Regal Group subsidiary

The majority of jobs have been preserved at Nottingham-based Frame Trade UK Limited following the sale of its business and assets to Frame Trade Windows Limited, part of the Regal Group, ahead of the company’s liquidation.

Richard Pinder and Sean Williams of Leonard Curtis were appointed joint liquidators on 10 July 2025. Frame Trade UK, founded in 2003, specialised in the manufacture of UPVC and aluminium double-glazed windows, doors and conservatories for customers across the East Midlands, employing 19 staff.

The company faced mounting operational challenges, including a loss of trade during the pandemic, the costly replacement of a key piece of manufacturing equipment, and extensive flooding at its factory in 2023, which caused significant disruption and financial strain.

Prior to the liquidation, the directors completed a sale of the business and assets to the Regal Group subsidiary, which included the TUPE transfer of 17 employees. Two director roles were made redundant. Leonard Curtis subsequently advised the directors on the appropriate steps to place the company into liquidation.

Richard Pinder of Leonard Curtis said the transaction maximised recoveries for creditors while mitigating preferential claims arising from employee entitlements. “After reviewing the circumstances of the sale and obtaining valuation advice, we confirmed that the sale was the best outcome for creditors as it maximised asset realisations and minimised preferential creditor claims as a result of the TUPE transfer of employees,” he said.
